Terms of Service

Effective Date: March 3, 2026

These Terms of Service (“Terms”) govern access to and use of the Lorica platform and related services (collectively, the “Services”) operated by Lorica Security, Inc., a Delaware corporation (“Lorica,” “we,” or “us”).

By accessing or using the Services, or by clicking “Accept,” you agree to be bound by these Terms. If you are using the Services on behalf of an entity, you represent that you have authority to bind that entity, and “you” or “User” refers to that entity.

1. Relationship to the Master Services Agreement

1.1 MSA Governs Paid Services

Access to paid or managed Services is governed by a master services agreement (“MSA”) between Lorica and the applicable customer entity, together with one or more Order Forms.

If you are a customer using paid Services, the MSA controls. In the event of any conflict between these Terms and the MSA, the MSA shall control with respect to paid Services.

1.2 Scope of These Terms

These Terms govern: access to free or unmanaged features; account creation and acceptable use; platform rules applicable to all Users; and self-serve onboarding pending execution or acceptance of an Order Form.

For paid Services, the MSA exclusively governs all rights and obligations relating to such Services, and these Terms apply only to the extent not inconsistent with the MSA.

2. Eligibility and Accounts

2.1 Eligibility

You must be legally capable of entering into binding contracts to use the Services. Use of the Services by minors is prohibited.

2.2 Account Registration

You are responsible for: providing accurate and current information; maintaining the confidentiality of login credentials; and all activity conducted through your account.

Lorica may rely on account activity as authorized by you.

3. Nature of the Services

3.1 Infrastructure-Only Platform

Lorica provides only software infrastructure and data management tools. Lorica does not provide legal, regulatory, employment, staffing, security, insurance, procurement, or professional services.

3.2 No Employment, Agency, or Marketplace Relationship

Lorica is not an employer, co-employer, joint employer, staffing agency, recruiter, broker, or agent. Lorica does not supervise, direct, or control any person’s work or services.

3.3 No Compliance Determinations

Lorica does not determine whether any User, professional, credential, or activity complies with applicable law. All compliance determinations and decisions are your responsibility.

4. Acceptable Use

You agree not to use the Services to: violate applicable law or regulation; misrepresent credentials, qualifications, or compliance status; upload unlawful, misleading, or infringing content; interfere with or disrupt the Services or security controls; access the Services without authorization; or represent that Lorica verifies, certifies, or guarantees compliance or qualifications.

5. Data and Content

5.1 User Content

You retain ownership of content and data you submit (“User Content”). You grant Lorica a limited license to process User Content solely to operate, secure, and improve the Services, consistent with the MSA (if applicable) and Lorica’s Privacy Policy. For paid Services, data rights and obligations are governed by the applicable MSA.

5.2 Responsibility

You are solely responsible for the accuracy, completeness, legality, and authorization of User Content.

6. Free and Unmanaged Features

Lorica may offer free or unmanaged access to certain features. Such access: may be modified or discontinued at any time; includes no service levels, support, or uptime commitments; and creates no obligation to continue providing those features.

7. Account Enforcement; Dormancy; No Duty to Monitor

Lorica reserves the right, in its sole discretion, to monitor use of the Services for purposes of maintaining security, integrity, and compliance with these Terms. Lorica has no obligation to monitor the Services or User activity and does not guarantee the detection or prevention of unauthorized or improper use.

Lorica may suspend, restrict, or terminate any account, profile, or access – with or without notice – if Lorica reasonably determines that: (a) the account is being used in a malicious, deceptive, fraudulent, abusive, or unlawful manner; (b) the account poses a security, operational, legal, or reputational risk to Lorica, other users, or the Services; or (c) the account has been inactive for an extended period of time and its continued existence is not necessary for contractual, legal, or operational purposes.

Lorica has no obligation to retain inactive or dormant accounts indefinitely and may deactivate or remove such accounts in accordance with its data retention practices.

8. Suspension and Termination

Lorica may suspend or terminate access to the Services if: you violate these Terms or the MSA (if applicable); your use poses a security or operational risk; or required by law or a governmental authority.

Enforcement actions may be taken proactively and without prior investigation and do not require a finding of actual wrongdoing.

Termination of free or unmanaged access does not affect obligations under any applicable MSA.

9. Intellectual Property

The Services, including software, documentation, and underlying technology, are owned by Lorica or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted, no rights are transferred.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, LORICA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

LORICA DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

11. Limitation of Liability

FOR PAID SERVICES, LIABILITY IS GOVERNED BY THE MSA. FOR FREE OR UNMANAGED USE, TO THE MAXIMUM EXTENT PERMITTED BY LAW, LORICA’S TOTAL LIABILITY SHALL NOT EXCEED US$100.

LORICA SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

12. Indemnification

You agree to indemnify and hold harmless Lorica from claims arising out of your use of the Services, your User Content, or your violation of these Terms, to the extent permitted by law. For paid Services, indemnification is governed by the MSA.

13. Export Controls and Sanctions

You represent and warrant that you are not located in, and will not use the Services in violation of, any jurisdiction subject to comprehensive trade sanctions, and that your use of the Services complies with applicable export control and sanctions laws and regulations.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any disputes shall be brought exclusively in the state or federal courts located in Delaware, except where mandatory local law requires otherwise.

15. Changes to These Terms

Lorica may update these Terms from time to time. Changes are effective upon posting. Continued use of the Services constitutes acceptance of the updated Terms.
